Confidentiality Agreement

EnvyGroup, LLC (“Company”) is the developer of TouchScanner, a patent-pending mobile application for control and operation of Uniden SDS-class scanners. Company offers a Tester Program providing pre-release access to TouchScanner builds in exchange for feedback. Company requires each Tester (“Tester,” “you”) to maintain confidentiality of all pre-release information. By submitting the Tester Program signup form, you (“Tester”) agree to the terms below.

1. Definitions

1. “Confidential Information” means TouchScanner application binaries, source code, screenshots, documentation, feature lists, performance characteristics, beta-channel communications, internal release notes, and any other materials shared by Company with Tester in connection with the Tester Program, whether or not marked confidential.
2. “Permitted Purpose” means Tester's personal, non-commercial evaluation of pre-release TouchScanner builds and submission of bug reports, feature requests, and feedback to Company.

2. Confidentiality Obligations

Tester agrees:

1. to use Confidential Information solely for the Permitted Purpose;
2. not to publish, post on any forum or social network, share screenshots, distribute build files, or otherwise disclose Confidential Information to any third party without Company's prior written consent;
3. not to reverse-engineer, decompile, disassemble, or attempt to derive the source code of TouchScanner, nor to circumvent any technical protection measure;
4. to use reasonable security measures to protect Confidential Information from unauthorized access or disclosure;
5. to return or destroy all Confidential Information promptly upon Company's request, including uninstalling any pre-release TouchScanner builds.

3. Permitted Disclosures

Tester may:

1. submit bug reports, feature requests, and other feedback directly to Company via the Tester Program channels (support@touch-scanner.com or the in-app feedback mechanism);
2. disclose Confidential Information if compelled by court order or applicable law, provided that Tester first gives Company prompt written notice and a reasonable opportunity to seek a protective order or other appropriate remedy.

4. No License

No license under any patent, copyright, trademark, or trade secret is granted to Tester, except a limited, non-exclusive, non-transferable, revocable license to install and use the pre-release TouchScanner builds for the Permitted Purpose during the term of this Agreement.

5. Feedback License

Tester hereby grants Company a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate any feedback, suggestions, or improvements Tester submits into TouchScanner or any other Company product, without obligation of credit or compensation.

6. No Warranty

Pre-release TouchScanner builds are provided “AS-IS”, without warranty of any kind, express or implied. Tester assumes all risk arising from installation and use. Company is not liable for any data loss, device damage, or other harm resulting from use of pre-release builds.

7. Term & Termination

This Agreement remains in effect for two (2) years from the date of acceptance, or until the relevant Confidential Information is publicly released by Company, whichever occurs first. Company may terminate Tester's participation in the Tester Program at any time, with or without cause, by written notice. Sections 1, 2, 4, 5, and 8 survive termination.

8. General

This Agreement is governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict-of-laws principles. Any disputes shall be resolved in the state or federal courts located in Pennsylvania. This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes any prior or contemporaneous understandings. No modification is effective unless in writing signed by both parties.

9. Acceptance

By checking the “I agree” box and submitting the Tester Program signup form, Tester acknowledges that Tester has read, understood, and agrees to be bound by this Agreement. Tester's electronic acceptance has the same legal effect as a handwritten signature.

This Confidentiality Agreement is provided in the interest of transparency. The same terms appear in the Tester Program signup form for your acceptance. EnvyGroup, LLC reserves the right to update this Agreement; the version applicable to you is the version in effect at the time you accepted.
